INFORMATION TO ASSIST YOU IN FORMING YOUR COMPANY:
COMPANY NAMES:
DUPLICATION - if a company is already registered with exactly the same name as the one you want then you will have to modify your name or select a different name. Existing names are listed on the Companies House website (see Useful Links). SENSITIVE WORDS - the use of certain words needs to be qualified before Companies House will accept them for registration, eg. 'Group' - suggests a group of companies; 'Holdings' - implies a subsidiary company; 'Windsor' - requires approval of the House of Windsor; 'Pharmacy' 'Dentist' 'Architect' etc. the list is extensive and can be found on the Companies House website: (see Useful Links). Unless you can justify the use of such words it is better to avoid them.

DIRECTORS:
Each appointed director is equally responsible for the proper day to day management of the company. Companies House produce a booklet on the duties and responsibilities of directors which is freely available. There must be a minimum of 1 director, the director can also be the shareholder, therefore only one person is required to legally constitute a private limited company, there is no maximum.
SHAREHOLDERS:
Are the persons who own the company. The minimum requirement is for one shareholder to hold one share, there is no maximum. Shareholders have the power to appoint and remove directors, they can also be appointed as directors.
SHARE CAPITAL:
The Nominal Capital represents the total amount that is available for issue, the Issued Capital is the actual amount that has been issued to the shareholders. For simplicity we recommend that you start with 1,000 ordinary shares of L1.00 each representing the Nominal Capital, and issue one or more shares to each shareholder according to the percentages required.
REGISTERED OFFICE:
Companies registered in England & Wales must have an address in England or Wales, Scottish registered companies must have an address in Scotland. It may not be advisable or even possible (eg. rented accommodation) to use your residential address for this purpose, we offer an address service if required with mail re-direction.
COMPANY SECRETARY:
This is now an optional appointment, it is no longer necessary to appoint a Secretary but may be preferred by some. The duties of the Secretary traditionally include the filing of statutory documents with Companies House, this is a service that we offer.
